Georgetown Law. Practicing attorney in Florida, North Carolina, and Washington, D.C. General Counsel to a private equity firm. Bilingual English-Spanish. Brickell, Miami.
Karina is a Partner at Forman Capital Partners, where she works directly with borrowers, lenders, and professional referral partners to structure and execute commercial financing transactions. She maintains strong relationships with commercial real estate attorneys, 1031 exchange qualified intermediaries, CPAs, cost segregation specialists, hedge fund managers, private equity sponsors, brokers, developers, and construction companies. Her ability to communicate at a peer level with legal and financial professionals on both sides of a transaction is one of the firm's strongest advantages.
Karina earned her undergraduate degree from Florida State University and her Juris Doctor from Georgetown University Law Center. She launched her career at a large international law firm, then moved to a national firm where she advised Fortune 500 companies on sophisticated transactions across multiple practice areas. She went on to found her own law practice in Miami's Brickell corridor, advising clients on estate planning, tax strategy, business formation, MCA defense, and commercial transactions. She is fluent in English and Spanish and licensed to practice law in Florida, North Carolina, and Washington, D.C.
In addition to her own practice, Karina currently serves as General Counsel to a private equity firm, where she advises on deal structuring, risk assessment, regulatory compliance, and execution at the institutional level. That combination of big-firm Fortune 500 work, private practice, and in-house PE counsel experience gives her a perspective very few people in the commercial capital advisory world can match.
Karina takes a consultative approach with every borrower. She breaks down terms, structure, and tradeoffs in clear language so the client fully understands their position before committing. She consistently delivers multiple financing scenarios, typically an Option A, B, and C, so clients can compare side by side and pick the path that best fits their objectives. At the negotiating table she pushes for better terms, challenges lender conditions that don't serve the borrower, and stays engaged through every stage of the deal.
Forman Capital Partners was built on a simple reality: too many deals have a home somewhere in the market but never get there because the borrower doesn't have the right connection. Aren started this firm because he's never been comfortable watching that happen. Move fast. Negotiate hard. And treat every deal like the clock is ticking, because it usually is.
Aren has built relationships with the right people for every type of capital this firm places. Regional banks, institutional debt funds, private balance-sheet lenders, hard money shops, SBA originators, and agency platforms across the country, paired with a developer and counsel network that covers South Florida and works on deals nationally. Many of these relationships give Forman Capital access to private capital and pricing that is not available through traditional channels. When a deal comes in, Aren already knows the right call to make and what the answer is going to be. The middlemen get cut out. The borrower gets the right conversation, on the first try.
Aren came up on the residential mortgage side, where he absorbed how capital markets actually function from the borrower's chair, not from a textbook. The relationships he built during that period pulled him into the commercial space naturally, and the work he does now is built around a single discipline: the structure a borrower takes today has to be one they can still live with two and five years out. Sometimes that means telling the borrower not to do the deal. The job of this firm is not to close everything that comes in. It is to close the deals that should close, and to walk the borrower through the rest with the same level of attention.
Forman Capital Partners is a nationwide commercial capital advisory firm headquartered in Palm Beach, Florida, working with developers, investors, and operators across all 50 states. The firm arranges financing across every major commercial asset class — hotels and hospitality, multifamily, healthcare and skilled nursing facilities, industrial and warehouse, retail and mixed-use, ground-up construction, land and agricultural, energy and operating power infrastructure, and equipment — with a particular focus on the deals that need more than a clean credit memo to actually close. The work runs from straightforward bridge and bank refinances at the smaller end of the market to nine-figure construction takeouts, business acquisition financing, and complex repositioning capital at the institutional end.
Beyond traditional senior debt, the firm places capital that most advisors never touch. Private-side acquisition financing structured to compete with SBA on terms and close in a fraction of the time. Energy and operating power plant capital — natural gas, biomass, hydro, cogeneration, and combined-cycle facilities — through specialty lenders who actually underwrite the asset class. Renewable project finance across solar, BESS, wind, and EV charging infrastructure. Healthcare and skilled nursing facility capital through dedicated healthcare credit shops. Warehouse, flex industrial, self-storage, marina, and specialty commercial real estate placed with lenders who understand the niches banks redline. Distressed debt, note acquisition, foreclosure takedowns, DPO negotiations, and bankruptcy 363 sale capital when the loan in front of you is the wrong instrument and the asset is the right one. JV equity, mezzanine, preferred equity, and rescue capital when the stack is broken and the sponsor needs a partner with real money. SaaS, recurring-revenue, and non-dilutive C&I term debt for operators outside traditional bank parameters. The lenders behind the firm range from regional banks and SBA originators to private balance-sheet funds, family offices, healthcare-focused private credit, energy-focused project finance, and institutional debt funds that price for speed when speed is what the deal requires.
What holds all of it together is a single principle. No upfront fees. No retainers. No commission of any kind until the deal funds. If a borrower walks away mid-process, we have made nothing. If we close on a deal that turns out to be the wrong one, we have made nothing worth keeping. That structure is deliberate. It is the reason a borrower can trust the advice they are getting, the reason the lender on the other end is the right one for that specific file, and the reason the work is owned from intake to close instead of relayed across a chain of people who never speak to one another.
What this produces is a firm with every reason to slow down on the wrong deal and every reason to fight harder on the right one. Multiple capital sources brought to the table in parallel and worked against one another to drive pricing, leverage, and structure to where they should land. Term sheets reviewed with the kind of scrutiny most capital advisors never apply, with the clauses that quietly cost a borrower years caught before signature rather than after. Every engagement runs through the same two principals from the first call to the closing table. That is the work the rest of this site is built around.
The first call with us is free, and it is substantive. We look at the deal, give the borrower an honest read on whether it is bankable, name the lenders likely to fund it, and explain what the file needs to look like before it goes anywhere. No upfront fees, no retainer, no engagement letter required to find out if we are the right fit for the deal. A borrower who decides not to hire us after that call has lost nothing except the time it took to make it.
South Florida is where this firm was built. The relationships, the early deals, and the network that powers everything we do all started in West Palm Beach, Palm Beach, Jupiter, and Miami. The firm is headquartered in Palm Beach today, with a nationwide lender network and active engagements with sponsors and operators across the country.
